Officers and Directors
- Article 4 of the Articles of Association, Honorary Treasurer and Honorary Secretary. The Honorary Secretary will also act as Secretary to the Club.
- The quorum for the transaction of the business of the Directors until otherwise decided shall be 7.
- The Directors shall endeavour to elect all of the Officers of the Club (as specified in Article 4 of the Articles of Association and Bye Law 1 hereof) annually each for a term of one year (but not limited to one year) at the meeting of the Board of Directors held immediately before the Annual General Meeting of the Club in any given year. In the event that the Directors have not been able, or otherwise in a position, to elect all (or any) officers of the Club prior to the holding of an Annual General Meeting then they shall be entitled to do so at any meeting of the Board of Directors held thereafter provided always that the quorum referred to in Bye Law 2 hereof is present. In the event of an Officer not completing, for whatever reason, a full term of office, the Directors may elect replacement officer(s) (as I above) to serve for the duration of that term.
- The chair shall be taken at meetings of the Board by the President, or, in his or her absence, by the Vice President or, in his or her absence, the chair shall be taken temporarily by the senior of the Past Presidents present or, should no Past President be present, the senior member present willing to act, until the President or Vice President enters the room.
The decision of the chairman of a meeting of the Board on any question relating to procedure or order at the meeting shall be final.
The chairman shall, in the event of an equality of votes have the casting vote in addition to his or her deliberate vote.
- Any member whose subscription at the date of the Annual General Meeting has been paid is eligible for election to the Board. Any intending candidate for election to the Board must be proposed and seconded by a member of the Club on a form of nomination drawn up by the Board. Such form must be signed by the proposed candidate indicating that if elected he/she is willing to act and must be forwarded to reach the Honorary Secretary not later than seven days before the Annual General Meeting.
- In the event of a vacancy arising on the Board of Directors the Board may co-opt any eligible member to the Board for the outstanding balance of its term of office.
Any intending candidate for co-option to the Board must be proposed and seconded by a member of the Board and in the event that there be 2 or more proposals for co-option the candidate achieving the greatest number of votes shall be co-opted to the Board.
Membership
- The following persons shall be eligible for membership of the Club:
Any person who is a registered owner of a veteran, vintage, post-vintage or classic vehicle, which is 30 years old, or youngtimer car rolling annually from 1994 and onwards, in accordance with F.I.V.A. Article 1.2 of its Technical Code, or any person who is at least 18 years of age and who, in the opinion of the Board of Directors by reason of their interest in motor vehicles, is considered suitable for membership of the Club.
- Persons wishing to become members of the Club shall complete a form of application, in such form or medium as is determined by the Directors of the Club from time to time.
- The Directors may from time to time fix an entrance fee and in the event of any entrance fee being so fixed the form or medium of application when duly completed by the applicant shall be accompanied by the entrance fee and the membership subscription and sent to the Club. The Club will determine the required form(s) of payment.
- All such applications for membership shall be advised to the Board of Directors.
Subscriptions
- The annual subscription payable by ordinary members shall be €60.00 or such figure as may be decided upon by the Board from time to time. In the event of a spouse or partner of a member becoming a member his/her subscription shall be €10.00 or such sum as may be decided upon by the Board from time to time. All such members shall be ordinary members of the Club entitled to attend at and vote at all general meetings of the Club.
- Subscriptions shall be payable forthwith on becoming a member and shall cover the period from the date of membership for a twelve month period, and thereafter shall be renewable immediately after for a further twelve month period.
- In the event of a subscription not being paid one month after it is due the membership(s) of such person(s) shall lapse and while the subscription remains unpaid the provisions of Article 9 of the Articles of Association of the company shall apply and such member(s) shall not be entitled to vote at any meeting of the Club until his/her subscription and other monies due by him/her have been discharged.
- In the event of a membership lapsing due to non-payment of subscriptions due, the person(s) in question may pay arrears of monies due by him/her to the Club within one year of becoming due in which event membership will be reinstated. In the event of subscriptions remaining unpaid for more than one year the person(s) in question shall complete a form of application, in such form or medium as is determined by the Directors from time to time. An entrance fee may be payable at the discretion of the Membership Secretary of the Club.
Life Membership
The Board may determine from time to time the number of life members and the subscription payable by such member. Application for life membership can be made in such manner as the Board may determine from time to time. However, such applications cannot be considered by the Board from such persons who are members of the Club for less than ten years.
Honorary Life Membership
Honorary Life Membership may be granted to deserving members, or others in recognition of an outstanding contribution to the Club or the Old Car Movement in general. Each case shall be considered by the Board of Directors and shall be granted only if at least two thirds of the Directors present vote in favour.
Committees
The Board may delegate any of its powers to committees consisting of such member or members of the Club as the Board thinks fit; any committee so formed shall on the exercise of the power so delegated conform to any regulations that may be imposed upon it by the Board of Directors. The members of such committees may be removed by a resolution of the Board at any time on a simple majority. Such committees shall not have the power to co-opt additional members unless so expressly authorised by the Board, in writing when setting up the particular committee. Any such co-options where authorised must first be submitted to the Board, for approval.
Suspension of Membership
- In the event that the board of Directors shall receive a complaint in writing that the conduct of a member might be such that it would bring the Club into disrepute, the Board, in its absolute discretion may refer such complaint to the Conduct Committee for investigation.
- The Conduct Committee shall comprise of 1 Past President of the Club and two previous Board members (who are current members of the Club), none of whom shall be current members of the Board and the Conduct Committee shall appoint a chairman from among its number. The Conduct Committee in its absolute discretion shall consider the complaint and in appropriate circumstances the member complained of shall be notified in writing of the details of the allegations made against him/her and such member shall have the right to be present at any hearing of any such complaint by the Conduct Committee and shall also have the right to be represented.
- In the event that the Conduct Committee shall recommend to the Board of Directors the suspension from the Club of the member complained of, the said member shall have the right, by notice in writing within 14 days of the receipt by the member of the finding of the Conduct Committee, to appeal that finding to the Appeals Committee which shall comprise of an independent chairman nominated by the President of the Law Society of Ireland and two other members nominated by the R.I.A.C. none of whom shall be members of the Board or past Presidents of the Club.
The appellant shall have the right to be present at any hearings into the complaint by the Appeals Committee and shall have the right to be represented.
- The adjudication of the complaint by the Appeals Committee shall be final.
Expulsion of Membership
- In the event that the board of Directors shall receive a complaint in writing that the conduct of a member might be such that it would bring the Club into disrepute, the Board, in its absolute discretion may refer such complaint to the Conduct Committee for investigation.
- The Conduct Committee shall comprise of 3 Past Presidents of the Club, none of whom shall be current members of the Board and the Conduct Committee shall appoint a chairman from among its number. The Conduct Committee in its absolute discretion shall consider the complaint and in appropriate circumstances the member complained of shall be notified in writing of the details of the allegations made against him/her and such member shall have the right to be present at any hearing of any such complaint by the Conduct Committee and shall also have the right to be represented.
- In the event that the Conduct Committee shall recommend to the Board of Directors the expulsion from the Club of the member complained of, the said member shall have the right, by notice in writing within 14 days of the receipt by the member of the findings of the Conduct Committee, to appeal that finding to the Appeals Committee which shall comprise of an independent chairman nominated by the President of the Law Society of Ireland and 2 other members nominated by the R.I.A.C. none of whom shall be members of the Board or past Presidents of the Club.
- In the event that the member whose expulsion has been recommended by the Conduct Committee does not appeal that finding to the Appeals Committee and in accordance with Article 13 (1) of the Articles of Association, no member shall be expelled from the Club save by a resolution of the members of the Club to be passed by a two-thirds majority of the members present and voting at a General Meeting specially convened for such purpose of which 10 clear days notice shall have been given and such member shall be entitled to receive notice of such meeting and to attend there at and to be heard in his own defence but shall not be entitled to vote on such resolution.
- In the event that the Appeals Committee shall recommend to the Board of Directors the expulsion from the Club of the member complained of, no member shall be expelled from the Club save by a resolution of the members of the Club to be passed by a two-thirds majority of the members present and voting at a General Meeting specially convened for such purpose of which 10 clear days notice shall have been given and such member shall be entitled to receive notice of such meeting and to attend there at and to be heard in his own defence but shall not be entitled to vote on such resolution.
General
The Club shall hold an Annual General Meeting before the 30th June in each year. At least twenty one days notice in writing of such Annual General Meeting shall be sent to each current member.
